LinkCAD License Agreement

END-USER LICENSE AGREEMENT FOR LINKCAD

IMPORTANT — READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Gehriger Engineering ("LICENSOR") for the software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT").

1. Grant of License

LICENSOR grants to you a non-exclusive, non-transferable (except as stated in section 4), limited license to use the SOFTWARE PRODUCT solely for your internal business purposes, subject to the terms and conditions of this EULA.

Single User License

The Single User License entitles one named individual to install and use the SOFTWARE PRODUCT on one (1) computer at a time.

Network License

The Network License entitles the licensed number of concurrent users to use the SOFTWARE PRODUCT over a local area network. A "Network Lite" license permits up to three (3) concurrent users, and a "Full Network" license permits up to thirty (30) concurrent users.

2. Restrictions

You may not:

Modify, translate, adapt, decompile, disassemble or reverse engineer the SOFTWARE PRODUCT.
Distribute, rent, lease, or lend the SOFTWARE PRODUCT to third parties.
Remove any proprietary notices or labels on the SOFTWARE PRODUCT.
Use the SOFTWARE PRODUCT for any unlawful purpose.

3. Ownership

All title and intellectual property rights in and to the SOFTWARE PRODUCT are owned by the LICENSOR. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions.

4. License Transfer

You may permanently transfer all of your rights under this EULA only if you retain no copies and the recipient agrees to the terms of this EULA. The built-in license transfer function in the software must be used to effect the transfer.

5. Upgrades

Your license includes free upgrades for one (1) year from the date of purchase. After the first year, upgrades are available at the then-current upgrade price.

6. Limited Warranty and Disclaimer

THE SOFTWARE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

7. Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT.

8. Termination

Without prejudice to any other rights, LICENSOR may terminate this EULA if you fail to comply with the terms and conditions. In such event, you must destroy all copies of the SOFTWARE PRODUCT.

9. Governing Law

This EULA shall be governed by the laws of Switzerland.
